Position Summary

CPS Energy’s Contract Compliance Manager role leads the management, interpretation, and compliance assurance as the subject matter expert on the federal legal and regulatory requirements for doing business with the U.S. government. This role negotiates draft agreements and implements with U.S. government agencies and their prime contractors and administers and monitors government contract/subcontract performance. Additional responsibilities include the development, maintenance and continuous improvement of policies and procedures that ensure the company’s compliance with all applicable government regulations, including the Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulations Supplement (DFARS) and related laws and regulations. Identifies and escalates contractual and enterprise risks and budget necessities to support the federal government and meet compliance requirements, The role leads cross-functional teams and advice to ensure compliance with regulatory requirements promulgated by various contracting agencies of the U.S. government that purchase and/or have oversight authority for the company’s products (e.g., DLA, AFISMC, AFCEC, and JBSA).

Tasks and Responsibilities

  • Serves as CPS Energy’s Military Operations Contract Compliance Manager.
  • Negotiates, supports and advises up to the highest military ranking officials including Generals in JBSA.
  • Develops relationships with federal contract officers and legal teams.
  • Builds complex contract modifications, Request for Proposals, and analyzes risks and develops mitigation strategies.
  • Creates and continuously improves government contract compliance policies and standardized forms.
  • Develops and maintains effective business relationships with external customers such as government agencies, contractors, and other customers.
  • Initiates contractual agreements between CPS Energy and Defense Logistics Agency (DLA), Air Force Civil Engineering Command (AFCEC), and Joint Base San Antonio, (JBSA) Lackland, Randolph, Chapmen Training Annex, Fort Sam Houston, and Camp Bullis.
  • Ensures project results meet requirements regarding schedule and cost and negotiated terms with JBSA and DLA.
  • Monitors performance and recommend schedule changes, cost adjustments or resource additions.
  • Ensures project compliance with all guidelines, policies, practices, organization standards, and government regulations.
  • Implements necessary processes and procedures to ensure compliance with statutory and regulatory changes to government contract law.
  • Monitors and evaluates contracts, subcontracts, invoices, purchase requisitions, and other documentation for compliance with the JBSA Utilities Privatization contract.
  • Gathers statistical data and other information required for the project execution.
  • Ensure compliance with government contract terms and Quality Assurance Surveillance Program Performance Monitoring and Monthly System Performance Reporting
  • Monitors and manage assigned stakeholder relationships as required to improve performance and contract compliance.
  • Conducts performance auditing and monitoring for two Utilities Privatization Contracts.
  • Tracks business area compliance with contract milestones and other deliverables. Collects items and prepares for delivery.
  • Identifies opportunities for portfolio optimization, budget savings and congestion cost avoidance.
  • Performs validation on invoices as assigned to ensure accurate charges, timely, and prepares related reports to management and technical team.
  • Works in collaboration with government agencies such as the DLA, AFCEC and JBSA to maintain positive working relationships and resolve contract and general compliance questions and issues.
  • Manages and develops compliance reporting processes that provide timely and relevant information on all pertinent aspects of government programs compliance issues.
  • Maintains knowledge of government programs business solutions, systems and processes to effectively analyze and communicate regulatory impacts for government programs implementation activities. Conduct business specific analysis, prepare and communicate business impacts summarizing requirements and recommended actions.
  • Partners with business areas to monitor implementation plans and provide support and recommendations as required. Document and track implementation plans, activities, and milestones through completion of implementation process.
  • Performs other duties as assigned.

Minimum Skills

Minimum Knowledge and Abilities

Technical experience in the management of contract requirements and contract compliance is required.
Extensive experience working in government contracts and compliance for/with the U.S. government, or a government prime or sub-contractor Comprehensive knowledge of the FAR, DFARS, and the U.S. government procurement/contracting lifecycle.
Expertise in government contract negotiation and administration, including administration of subcontract flow downs, change management, inspection, acceptance, payment, warranty, close-out and records retention.
Proven experience and ability to evaluate contracts, contract requirements, contractual risks and provide value added recommendations to cross functional stakeholders.
Experience working collaboratively and cross-functionally with Legal, Quality Assurance, Engineering, Program Management, Accounting and Finance, and other business areas.
Must have a valid TX Drivers License and a favorable driving record.
Proficient in Microsoft Office Package, including word processing, spreadsheets, database, presentation software, project, electronic mail and scheduling.
Effective oral and written communication skills, including presentation skills.

  • Ability to create and/or evaluate complex models that simulate transactions, financial and/or technical conditions, and contracts to include risk scenarios.

Minimum Education

Bachelor’s Degree in a business field or applicable field of study or equivalent work experience accepted.

Required Certifications

Working Environment

Indoor work, operating computer, manual dexterity, talking, hearing, repetitive motion. Use of personal computing equipment, telephone, multi-functioning printer and calculator.
Ability to travel to and from meetings, training sessions or other business related events.

Physical Demands

Exerting up to 10 pounds of force occasionally, and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects, including the human body.
Sedentary work involves sitting most of the time. Jobs are sedentary if walking and standing are required only occasionally, and all other sedentary criteria are met.
